La eficacia del protocolo familiar frente a los estatutos sociales

Abstract

La empresa familiar, como empresa que es, se enfrenta a los mismos problemas de toda entidad. No obstante, su carácter familiar le atribuye unas connotaciones que la distinguen de las demás. Por ello, es necesario crear en el interior de la familia una cultura empresarial específica con unos canales de comunicación interconectados, pero a su vez independientes. De ahí es donde nace el concepto de protocolo familiar, como mecanismo para organizar los aspectos internos de la entidad y comprende toda su realidad. Abarca no solo aquellas circunstancias económicas, patrimoniales y de organización, sino también los valores propios de la familia que se quieren reflejar en la empresa. Por otra parte, es notoria la similitud y relación existente entre el protocolo familiar y los estatutos sociales, motivo por el cual es necesaria una coherencia entre ambos documentos. En caso de se produzca alguna contradicción entre ellos, el contenido estatutario siempre prevalecerá. Dada la multitud y variedad de cláusulas que componen el documento del protocolo, este documento por sí solo en la actualidad no goza de la suficiente eficacia jurídica para hacerlo frente a terceros.

The family business is like any other kind of business, and faces the same problems as any entity. However, the fact that it is family-based gives it certain connotations which distinguish it from others. Thus a specific business culture must be created within the family, with communication channels that are both interconnected but independent. This was the origin of the concept of family protocol as a mechanism to organise the internal aspects of the entity, and applying to the whole of its reality. It not only covers the entity’s economic, financial and organisational circumstances, but also the family’s own values as they wish them to be reflected in the business. It is moreover evident that the family protocol and the articles of association are similar and connected, so it is important that the two documents are consistent. If there is any contradiction between them, the content of the articles of association will always prevail. Given the many and varied clauses making up the protocol document, it alone does not currently have sufficient legal effectiveness to prevail in the eyes of third parties.
